General Terms and Conditions (GTC)

These General Terms and Conditions (hereinafter «GTC») apply to all business relationships between Jo & Fred Web Design LLC, Dubai, United Arab Emirates (hereinafter «Wein QR») and the respective business customer (hereinafter «Client»). These GTC apply exclusively to entrepreneurs within the meaning of the Austrian Commercial Code (UGB). Contracts with consumers are excluded. Deviating, conflicting or supplementary terms and conditions of the Client shall not become part of the contract unless their validity is expressly agreed in writing.

1. Subject of Contract

WeinQR provides the Client with a web-based platform through which QR codes can be generated and managed. Each QR code is assigned to a specific wine of the Client and enables end customers to access legally relevant product information (e.g. ingredients) via a website provided by WeinQR. WeinQR does not owe any specific economic success, but only the contractual provision of the agreed technical service.

2. Technical Requirements

WeinQR's services can be used with common end devices, browsers and operating systems. There is no obligation to support specific devices, software versions or operating systems. Interfaces, technical specifications and system requirements are determined by WeinQR and can be adjusted if this is objectively justified.

3. Conclusion of Contract

The contract is concluded by: 1. a non-binding offer from Wein QR and 2. its acceptance by the Client. The Client is bound by their acceptance. There is no right of withdrawal. Wein QR is entitled to refuse contracts without giving reasons.

4. Prices and Subscription Model

The use of Wein QR is on a subscription basis. • The subscription is generally concluded annually • Payment can be made annually or monthly, depending on the offer Only the prices shown in the specific offer or in the ordering process are authoritative. All prices are net, plus any applicable taxes.

5. Payment Processing

Payment processing is carried out via an external payment service provider (currently Stripe). Invoices are transmitted electronically. The Client expressly agrees to electronic invoicing. In case of late payment, default interest of 9.2% above the base rate is agreed. Reminder fees of EUR 10.00 per reminder will be charged.

6. Rights and Obligations of the Client

The services provided may only be used for the Client's own business purposes. The Client is solely responsible for all content entered or uploaded and warrants that: • no third-party rights are violated • no unlawful, misleading or inadmissible content is used The Client shall indemnify and hold Wein QR harmless from all third-party claims resulting from the breach of these obligations.

7. Client Content

The Client creates the content assigned to the QR code themselves. In particular, content with the following is inadmissible: • unlawful, discriminatory or offensive representations • third-party trademarks, logos or protected signs without authorization Wein QR is entitled to block, remove or deactivate content at any time if its publication is unreasonable or violates legal requirements or these GTC. There is no entitlement to compensation for unused periods.

8. Changes and Support

Wein QR may make technical adjustments, maintenance or updates during the contract period. Subsequent content changes by the Client may be charged separately depending on the effort involved.

9. Contract Duration and Termination

The subscription is concluded for the respectively agreed term and ends automatically unless it is renewed in due time. The right to extraordinary termination for good cause remains unaffected. After termination of the contract, Wein QR is not obligated to retain the Client's content or data.

10. Warranty and Liability

Wein QR points out that software cannot be completely error-free according to the current state of technology. Continuous availability (24/7) is not owed. Wein QR is not liable for: • temporary unavailability • outages caused by third-party providers • force majeure Liability is limited to intent and gross negligence to the extent permitted by law.

11. Confidentiality

Both contracting parties undertake to maintain confidentiality regarding all non-public information that becomes known to them in the course of the business relationship. This obligation also applies beyond the end of the contract.

12. Data Protection

The processing of personal data is carried out in accordance with Wein QR's privacy policy in its current version.

13. Final Provisions

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and conflict of laws rules. The exclusive place of jurisdiction is, where permissible, the competent court in Graz. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
